Prospectuses for a Common Stock and/or Bond Offering

On 3 February 2012, the Deutsche Boerse Group, which owns the Frankfurt Stock Exchange held a round table disscussion. They have the following plans and will discuss the details with the Specialists / Applicants in the next weeks:
- The First Quotation Board (FQB) segment of the Frankfurt Stock Exchange will be closed for good. It will not be reopened again for new admissions. The Entry Standard segment will now be the first level of three total segments on the Frankfurt Stock Exchange.
- All companies which are currently listed on the FQB, will be forced to upgrade to the Entry Standard Level (with approved prospectus and audited financials) before the deadline, which is slated to be 30 September 2012. Any FQB company fails to graduate to the Entry Standard segment by 30 September 2012, will be automatically delisted.
- Thus, audited financials (under IFRS) and an approved prospectus are now mandatory.
- In the future there will be only a “Quotation Board” (currently called Secound Quotation Board) for Dual Listings below the Entry Standard
- We belive that all regional Exchanges like Berlin and Stuttgart will soon set establish similar rules.
At this time, this is only a possible scenario, but our view and that of our market maker and other contacts believe this will soon be announced as the reality.
